Procedure of a consulting mandate

Within the first instance each project request is reviewed by an experienced clearing house, from there preliminary discussions are carried out. If after the completion of this first phase, the project is considered interesting to the Rosinger Group, the potential client receives an invitation to a personal meeting with the Rosinger Groups management. If after the second phase, the project still is considered interesting and is granted a high chance of being implemented, then a draft agreement is drawn up. This agreement will hold all the relevant project details such as the precise scope of services, conditions, confidentiality agreements etc. From this approach it can be seen that the Rosinger Group accepts only those consulting mandates, whose realization probability is rated well above average.

After the mandate was issued to the Rosinger Group, the project usually goes through the following phases:

Phase 1 – Analysis and structuring

In this phase Rosinger Group developes – always in close consultation with the client -  a target-orientated investor and financing structure as well as the corresponding financial conditions. Rosinger Group then identifies potential investors and proposes those in the form of a long-list the client, who can make cuts and eventually give the go-ahead.
Besides the creation of the transaction and presentation documents (for example  information memorandum, fact sheet, management presentation, etc.) Rosinger Group is supporting their clients in preparing for the due diligence procedure and will also develop a general communication strategy.

Phase 2 – transaction

With the documents compiled by Rosinger group selected potential institutional investors will be addressed. If necessary, Rosinger Group will hold a management presentation together with the client.

Phase 3 – Closing

Rosinger Group will advice and accompany the client in all negotiations with potential investors - until the finalisation of a letter of intent, term sheets or a similar document as well as the completion of the final transaction agreements for the placement of financing.
